En esta materia el ordenamiento argentino ha adoptado la doctrina orgánica, imponer un sistema donde las funciones societarias representativas son cumplidas mediante la actuación de órganos instituidos para esta finalidad y a quienes, por disposición legal, se les atribuye de competencia especial. De tal modo la legislación se aparta de la noción del mandato que inspiraba y brindaba fundamento en el Código de Comercio, en otros tiempos, a la representación social.
